FGCU Presents Workshop by Corporate Governance Experts, Feb. 26

FORT MYERS, FL - The newly created Institute for Responsible Corporate Governance at Florida Gulf Coast University presents a workshop titled, "The Uproar Over Executive Compensation: How Should the Board React and How is it Likely to Affect the 2009 Proxy Season," 3 p.m. to 5 p.m., Thursday, Feb. 26, at the Sugden Welcome Center. Registration begins at 2:30 p.m. with a reception to follow the program.

This is the second of four leading edge programs for current and former corporate directors, executives, governance professionals and interested parties to be offered by the Institute for Responsible Corporate Governance at the Lutgert College of Business - Center for Leadership & Innovation.

Presenters are Frederick W. Cook, founding director of Frederick W. Cook & Co., an independent consulting firm specializing in executive compensation issues; and Jim Melican, chairman of Proxy Governance, Inc. (PGI), a proxy voting advisory service based in Tysons Corner, Va.

Prior to forming his firm in 1973, Cook was a principal in Towers, Perrin, Forster & Crosby, a firm he joined in 1966 following four years of service as an infantry officer in the U.S. Marine Corps. He is a graduate of Dartmouth College, an honorary lifetime member of the American Compensation Association and recipient of its Keystone Award. He is also a Fellow in the National Academy of Human Resources, and a member of the Department of Defense Business Board.

Melican served as executive vice president and a member of the Executive Office of International Paper Company prior to joining PGI in September 2004. Previously, he served as senior vice president and general counsel of Toyota Motor Sales, U.S.A., and prior thereto, assistant general counsel of General Motors Corp. Melican has been a recognized expert on corporate governance for more than 25 years. He is a graduate of Fordham College, Harvard Law School, and has an M.B.A. from Michigan State University.
