FGCU Institute for Responsible Corporate Governance Hosts "Anatomy of a Proxy Contest" Symposium

FORT MYERS, FL - Florida Gulf Coast University Institute for Responsible Corporate Governance and Cummins & Lockwood, LLC., will host a panel discussion, "Living Through a Proxy Contest - a Corporate Participant's Experience," 3 p.m. to 5 p.m., Thursday, April 8 in Sugden Hall, Resort and Hospitality Building, Room 110 to discuss the elements of a proxy contest.

Attendees will hear the insights of participants in last year's most noteworthy proxy contest between Target Corporation and Pershing Square Capital Management, one of the country’s best known hedge funds. The panel will discuss the considerations involved in deciding whether to fight or settle, threatened and initiated contests, and other issues relating to the election, terms and roles of corporate directors. The symposium will include an analysis of the involvement of proxy advisory firms in high-profile proxy contests.

Speakers include Timothy R. Baer, executive vice president, corporate secretary and general counsel of Target Corporation; Philip Garon, partner of Faegre & Benson; and James Melican, chairman of Proxy Governance Inc.

This program will appeal to parties interested in understanding how American corporations are governed and the new responsibilities and accountabilities of directorship.

Registration begins at 2:30 p.m. and a speaker reception follows from 5 p.m. to 6 p.m. Attendees will be eligible for Bar Association CLE credits (2.50 General CLER, including 2.50 Ethics). Participants may also obtain educational credits from the National Association of Corporate Directors.
